Position: Senior Legal Officer – Transactions Management

Job Description:

Job Purpose:

To provide transactions-related advisory services and support throughout the transaction’s lifecycle in order to safeguard OIA’s best interests and ensure an efficient and timely transactions process.


Key Roles & Responsibilities

1. Documents Draft:

Prepare the draft of legal advice, documents, and contracts, including transactional documents to ensure all legal documents required are available to investment transactions support teams.


2. Transactions Process: Assist in the legal due diligence of direct investment transactions (including real estate, private equity, and corporate) involving participation in acquisitions and divestitures on behalf of OIA from structuring to execution to ensure that transactions are made properly within legal bounds.

Identify the legal issues accompanied by each transaction’s agreement and support their resolution and provide recommendations based on the situation to ensure the transaction’s process is effectively carried out.


3. Document Filing: Assist in the compilation of transaction documents and standard OIA documents such as terms of business, non-disclosure, and confidentiality agreements to ensure the proper legal process is followed and OIA’s interests are safeguarded.


4. External Counsel: Liaise and coordinate with external legal teams on needed support for OIA’s transactions while considering legal and cost parameters to ensure OIA’s legal issues are effectively addressed.


5. Post Transactions Process: Support the post transactions process by planning the appropriate legal and operating framework with relevant stakeholders and communicating the changes to the employees of the acquired or divested companies to ensure the efficient and continued operations of OIA.

Support in the settlement of outstanding matters post-closing of the transaction to ensure there are no issues that could affect OIA’s plans and interests.


6. Legal Issues: Flag legal issues that occur at OIA for resolution and recommend the best alternatives to minimize legal risks and safeguard OIA.


7. Policies & Procedures: Comply with the implementation of departmental policies and procedures, to ensure that all relevant procedural and legislative requirements are fulfilled.


8. Health, Safety & Quality: Comply with all relevant health, safety, and quality requirements, in order to guarantee employee safety and legislative compliance.


9. Continuous Improvement: Contribute to the identification of opportunities for continuous improvement of systems, processes and practices taking into account ‘leading best practices’, improvement of business processes, cost reduction and productivity improvement.


Communication Channels:

Internal: Senior Legal Advisor - Corporate & Transactions Management, General Counsel & General Counsel Directorate.

External: External Counsel.

Minimum Requirements:

Qualifications:

3 to 5 years of relevant work experience.
Bachelor’s Degree in Law or any relevant field.
Internationally recognized Professional qualifications are desirable.
Fluency in English is essential. Fluency in Arabic is advantageous.
Proficiency with MS Office is essential. Experience with business related software is desirable.
